End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you (“User”) and BasilBook (“Licensor”) for the use of the BasilBook mobile application (“App”) available on the Apple App Store and Google Play Store.

By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not download, install, or use the App.

1. License Grant

The Licensor grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices you own or control, solely for your personal or internal business purposes, subject to this EULA and the applicable app store terms.

2. License Restrictions

You shall not:

  • Copy, modify, distribute, sell, or lease any part of the App.
  • Reverse engineer, decompile, or disassemble the App.
  • Remove, alter, or obscure any proprietary notices in the App.
  • Use the App to develop a competing product or service.
  • Use the App in any manner that violates applicable law or regulation.
  • Transfer your license or account to another party without the Licensor's written consent.

3. Ownership

The App and all intellectual property rights therein are and shall remain the property of the Licensor. This EULA does not convey any ownership rights in the App. Your Data (as defined in the Terms of Service) remains your property.

4. Third-Party Services

The App may integrate with third-party services (Apple Sign-In, Google Sign-In, payment processors). Your use of such services is governed by their respective terms and privacy policies. The Licensor is not responsible for third-party services.

5. Subscription and In-App Purchases

  • The App may offer subscription plans or in-app purchases. Payment is processed through the applicable app store or our payment provider (Paddle).
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
  • You may manage and cancel subscriptions through your device settings or account settings within the App.

6. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE APP PROVIDES OPERATIONAL AND ACCOUNTING TOOLS BUT DOES NOT CONSTITUTE PROFESSIONAL ACCOUNTING, TAX, OR LEGAL ADVICE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP. THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP OR SUBSCRIPTION IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies from your devices. Sections that by their nature should survive termination (ownership, disclaimers, limitations of liability) shall survive.

9. Apple-Specific Terms

If you downloaded the App from the Apple App Store:

  • This EULA is between you and BasilBook only, not Apple. Apple has no obligation to furnish maintenance or support services for the App.
  • Apple is not responsible for addressing any claims relating to the App or your possession and use of the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation.
  • Apple is not responsible for any third-party claims that the App infringes intellectual property rights.
  • Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you.
  • You must comply with applicable third-party terms (e.g., your wireless data agreement) when using the App.

10. Updates

The Licensor may release updates to the App from time to time. Updates may modify or remove certain features. Your continued use of the App after an update constitutes acceptance of the updated version.

11. Governing Law

This EULA shall be governed by the laws of the jurisdiction in which BasilBook is incorporated, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of that jurisdiction.
